Terms and conditions of sale

These terms and conditions govern sales concluded on the NovaStar.Pro website between VISUALL GROUP and its business customers.

This English translation is provided for convenience only; the French version prevails in case of discrepancy.

1. Seller

VISUALL GROUP, SAS with a share capital of €150,000, registered with the Trade and Companies Register (RCS) of Lille Métropole under no. 531 400 588, registered office: 130, rue Racine, 59200 Tourcoing, France. Intra-EU VAT number: FR83531400588. Telephone: 03 66 72 09 70. Contact: contact@novastar.pro.

2. Scope

The NovaStar.Pro website is reserved exclusively for professionals (legal entities or natural persons acting for the purposes of their professional activity). By placing an order, the customer declares that they are acting for professional purposes and provides their registered company name and their SIRET number or intra-EU VAT number. The French Consumer Code does not apply to sales concluded on the website.

Any order implies unreserved acceptance of the terms and conditions of sale in force on the date of the order. Any specific terms agreed in writing with a business customer (quote, framework agreement) take precedence over these terms.

3. Products

The products are new NovaStar-branded equipment. Specifications are provided for information purposes based on the manufacturer's data; only the official datasheet is authoritative. Images are not contractually binding.

4. Prices

Prices are expressed in euros, excluding VAT and including VAT. Delivery charges are shown before the order is confirmed.

Business customers holding an approved account benefit from the pricing terms granted to them. For intra-EU deliveries to a VAT-registered business, the invoice is issued excluding VAT (reverse charge). Exports outside the EU are exempt from VAT; import duties and taxes are payable by the customer.

Prices may be changed at any time; products are invoiced at the price in force when the order is confirmed.

5. Orders

The order is formed once the basket has been confirmed, the terms and conditions of sale accepted and payment confirmed (or deferred payment accepted for trade accounts). A confirmation email summarises the order. The seller reserves the right to refuse an order in the event of a prior dispute or an abnormal request.

6. Payment

Accepted payment methods: bank card (secure payment through a certified provider), bank transfer and, for approved trade accounts, payment 30 days from the invoice date.

For orders paid by bank transfer, the order is prepared once the funds are received. If payment is not received within 7 days, the order may be cancelled.

Business customers: any late payment automatically incurs penalties at a rate of three times the French statutory interest rate, as well as a fixed indemnity of €40 for recovery costs (art. L.441-10 and D.441-5 of the French Commercial Code). No discount is granted for early payment.

7. Retention of title

The products remain the property of the seller until the price has been paid in full. Risks pass to the buyer as soon as the products are handed over to the carrier.

8. Delivery

Delivery times and terms are specified on the Delivery, returns & warranty page. If a parcel is damaged, the customer must make specific reservations with the carrier and inform us within 48 hours.

9. Returns

As sales are concluded between professionals, no right of withdrawal applies. A commercial return may be granted on an exceptional basis, within 30 days, subject to prior written agreement, for a new and complete product in its original packaging; a 15% restocking fee may apply.

10. Warranties

Products are covered by the manufacturer's 2-year commercial warranty (unless otherwise stated), under the conditions described on the dedicated page.

The customer benefits from the statutory warranty against hidden defects (art. 1641 et seq. of the French Civil Code).

The warranty is limited to the repair or replacement of the defective product; the seller's liability shall not exceed the amount of the order concerned, nor cover indirect damage (operating losses, loss of revenue, etc.).

11. Personal data

The data collected is processed in accordance with our privacy policy.

12. Disputes

These terms and conditions of sale are governed by French law. In the event of a dispute, and failing an amicable settlement, exclusive jurisdiction is conferred on the Commercial Court of Lille Métropole (tribunal de commerce de Lille Métropole).
